Terms of Use

Please read these Terms of Use (“Terms”) carefully before using the Circuit platform and related services (the “Service”). These Terms govern your access to and use of the Service and form a binding agreement between you and Beyond Media Digital Inc.

2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Relationship to Customer Agreements
Use of the Service may also be governed by a separate written agreement between the Company and a customer (“Customer Agreement”). In the event of a conflict, the Customer Agreement controls.

4. Eligibility
You must be at least 18 years old to use the Service.

5. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us promptly of any unauthorized use or security breach.

6. Subscriptions and Fees
Subscription terms, fees, billing, renewal, and cancellation are governed by the applicable Customer Agreement.

7. Customer Content and Data
You retain all rights to content and data you submit to the Service (“Customer Content”). You grant the Company a limited, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service, in accordance with these Terms and any Customer Agreement.
You are responsible for ensuring that your use of the Service and submission of Customer Content complies with applicable laws and does not infringe the rights of others.

8. Prohibited Use
You may not use the Service to:
• violate any applicable law or regulation
• infringe intellectual property or privacy rights
• transmit malicious code or harmful content
• impersonate others or misrepresent affiliation
• interfere with or disrupt the Service

9. Data Protection and Privacy
The Company processes personal data in accordance with its Privacy Policy. When providing the Service on behalf of customers, the Company acts as a data processor or service provider and processes data only per customer instructions and applicable agreements.

10. Intellectual Property
The Service and all related technology, excluding Customer Content, are the exclusive property of the Company and its licensors.

11. Feedback
Any feedback you provide may be used by the Company without restriction or compensation.

12. Third-Party Services
The Service may integrate with third-party services. The Company is not responsible for third-party content or services.

13. Termination
We may suspend or terminate access to the Service for violation of these Terms or applicable agreements.

14. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, to the maximum extent permitted by law.

15. Limitation of Liability
To the maximum extent permitted by law, the Company’s total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

16. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law principles.

17. Changes to Terms
We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the revised Terms.
